d. defer issuance of the warranty card, final handover documents, and, where insurance has been expressly included in the accepted order, the applicable insurance policy or insurance details, until all outstanding amounts payable by the Customer have been received in full.
For clarity, deferral of issuance of documents under this Clause shall not extinguish any OEM warranty or statutory right that cannot lawfully be excluded or restricted.
7.6 The rights under Clause 7.5 may be exercised only to the extent that the payment delay is not caused by a bona fide dispute notified by the Customer in writing, and any administrative fee charged shall be subject to Applicable Law.
7.7 Time for payment shall be of the essence. If any amount remains unpaid beyond the due date, the Company may, after written notice, suspend procurement, delivery, installation, documentation support, activation, or handover until the overdue amount is cleared. If no rate is specified, interest shall be payable at the rate of 18% per annum, calculated on a pro rata basis from the due date until the date of actual payment. Such late-payment charges shall be without prejudice to the Company’s right to suspend performance under Clause 7.5 and recover all amounts lawfully due under the Agreement. The rights of the Company under Clauses 7.5, 7.7 and 7.8 are cumulative, provided that the Company shall not be entitled to recover the same cost, expense or loss more than once under those Clauses or otherwise under this Agreement. For the avoidance of doubt, interest payable under Clause 7.8 is compensation for delay in payment and shall not be treated as a recovery of any cost or expense under Clause 7.5 or Clause 7.7
7.9 The Customer shall not withhold, set off, or deduct any amount from payments due to the Company.
8.1 Title to the supplied materials and equipment shall be passed to the customer only upon receipt by the Company of full payment of all amounts due for the relevant project.
